Register your business

Registration happens at more than one level. Here is what each one covers.

The short answer

LLCs and corporations register with the Secretary of State in the state where they operate. Sole proprietors and partnerships may only need a DBA if they use a trade name. Many cities and counties also require a local business tax receipt or license. Federal registration is usually just your EIN with the IRS.

Registration levels

Have ready

  • Business name and a backup
  • Business address (or registered agent address)
  • Owner and manager names
  • Business purpose description
  • Payment for state fees

Florida and Texas examples

Florida filings go through the Division of Corporations (Sunbiz). Texas filings go through the Secretary of State SOSDirect system. See our Florida and Texas guides.

Worked example

Luis is opening a lawn care business as an LLC. He files formation documents with the Secretary of State, then checks his county and city for local business tax receipts and licenses. Because he will sell some products, he registers with the state revenue department for sales tax. He records each registration with its number, renewal date and agency contact in one spreadsheet.

Common mistakes

  • Registering in the wrong state
  • Skipping local registration
  • Missing annual reports
  • Paying third-party services for free forms without realizing

After registering

Save the confirmation and filing documents, note the annual report due date, set up a registered agent if required, and update your bank, insurer and licenses with the registered legal name. Then move on to tax registrations and local licenses.
